Telefónica Europe

The Telefónica Europe group comprises integrated fixed/mobile businesses in the UK, Ireland, Germany, the Czech Republic and Slovakia - all of which use 'O2' as their consumer brand.  

Telefónica Europe also owns 50% of the Tesco Mobile joint venture business in the UK and Ireland, as well as, the Tchibo Mobilfunk joint venture in Germany. In addition, the group includes the Isle of Man fixed/mobile operator, Manx Telecom.    

We have more than 47.6 million fixed and mobile customers across Europe and 29,000 employees across the Group. Telefónica Europe’s regional head office is based in Slough, UK.

Telefónica Europe announces its results, across its territories, with Telefónica's quarterly reporting cycle. We reported revenues for the period ended 31 December 2008 of over 14.3 billion euros.

O2's latest key performance data is for the first half for the period to 30 June 2009.

Telefónica S.A.
Telefónica is one of the largest telecommunications companies in the world in terms of market capitalisation.  Its activities are centered mainly on fixed and mobile telephony, with broadband as the key tool for the development of both.
 
The company has a significant presence in 25 countries and a customer base of more than 260 million worldwide.

Tesco Mobile

Data leadership – Leading in mobile data services

O2 has one of the most active customer bases for data and content in Europe. More than 40% of our 47.6 million customers in the UK, Germany, Ireland, Czech Republic and Slovakia are using data services on a regular basis.

Data services revenue - which includes text and other messaging services (e.g. email and picture messaging), as well as services such as music, content downloads and information services - now accounts for 30% of Telefónica O2 UK's service revenue and 27% across Germany and Ireland.

O2 continues to maintain its strong position in the market for mobile data products and with the iPhone- the fastest-ever selling product for O2 in the UK - the company has a clear differentiation.

Additionally, O2 has built a strong customer base for mobile Internet services through its O2 Active service. O2 Active is a branded, icon-driven menu that offers customers a simple means to access and navigate a growing range of mobile data and multimedia services such as picture messaging, games, video clips, chat, web browsing and information services.

Several O2 branded devices have been launched successfully during the past year, including the updated XDA range - with the XDA Zest and Serra.

Strengths

O2 and Telefónica
On October 31, 2005, it was announced that the Spanish-based telecommunications group Telefónica S.A. had made a cash offer to acquire O2. The O2 Board decided to recommend the offer at 200p in cash for each O2 share, valuing O2 at approximately £17.7 billion.

It was announced on Monday, January 23, by Telefónica S.A. that it has acquired more than 75% of the voting rights attaching to O2 plc shares and that its Offer to acquire O2 had gone unconditional in all respects.

The enlarged company continues to build on O2's track record of operational delivery, the strength of its brand, and the momentum it has established in all its markets. It brings together two strong, successful, growth-orientated companies, and creates a new, strong pan-European/global telecoms player.

The combined entity is second largest global wireless operator outside of China, in terms of active subscribers with more than 261.4 million customers. In addition, the combined group is also be the world's 2nd most valuable telecom operator with a market capitalisation of €106.1 billion.

75% of the new company is mobile - recognising the vital role of mobile as the engine for communications growth, particularly in the area of mobile data services.

Matthew Key, Chairman and Chief Executive Officer, Telefónica Europe plc

Matthew Key was appointed Chairman and Chief Executive Officer of Telefónica Europe plc on 1 January 2008. At this time, he also joined the Telefónica, SA. Executive Committee.

Prior to this, Mr. Key was the Chief Executive Officer of the UK business, a position he held since February 2005. Mr. Key joined the company in February 2002, as Chief Financial Officer, where he was responsible for strategy, business development, regulatory functions and the establishment of the Tesco Mobile joint venture.

Before joining O2, Mr. Key worked with Vodafone as UK Operations Finance Director for four years. He has also held various financial positions with Kingfisher, Coca-Cola, Schweppes and Grand Metropolitan.

Pilar López Álvarez, Chief Financial Officer, Telefónica Europe plc

Pilar is a Business Studies graduate. She joined Telefónica after working for several years at JP Morgan in London and New York where she worked her way up to Vice President. Pilar joined the Telefónica Group in 1999 in Telefónica de España's Strategic Planning Department. In May 2000 she was appointed Director of Management Control at Telefónica SA. Two years later, in 2002, she joined Telefónica Móviles S.A. to head up this company's Management Control function. In October 2006 she was promoted to Director of Strategy and Business Development at Telefónica España.
